Mainspring Energy is seeking an experienced and highly organized Corporate Paralegal to join our growing Legal team. This individual will play a key role in supporting our corporate governance, securities and financing activities, legal operations, and other strategic corporate matters as the company continues to scale.
Key responsibilities
- Support Board of Directors and committee processes, including preparing meeting materials, minutes, and resolutions.
- Maintain corporate books and records, manage subsidiary entity matters, and handle annual filings.
- Assist with equity financings, debt transactions, and other corporate transactions, including closing documentation and diligence.
- Partner with Legal, Finance, and People teams on equity-related matters, including grants, exercises, and capitalization records.
- Develop and maintain scalable Legal team processes, templates, and document-management systems to improve efficiency.
Requirements
- 4+ years of corporate paralegal experience at a law firm or in-house legal department, preferably in high-growth sectors.
- Strong experience with corporate governance, board processes, and entity management.
- Proven experience supporting corporate transactions such as venture financings, M&A, or debt financings.
- Excellent organizational and project-management skills with the ability to manage multiple priorities.
- Strong communication skills and the ability to handle sensitive information with discretion.
